How We Are Governed

Governing Documents

Our operations are guided by a Board-approved Constitution, Programme Policy Framework, Financial Management Manual, and Anti-Corruption Policy.

Board Meetings

The Board of Trustees meets quarterly to review strategic direction, financial performance, and programme outcomes. Emergency meetings are convened as needed.

Conflict of Interest

All trustees, staff, and volunteers are required to declare conflicts of interest. A strict conflict-of-interest policy prevents self-dealing and ensures decisions serve beneficiaries.

Financial Controls

All expenditures above ₦500,000 require dual authorisation. An independent Finance Committee reviews quarterly accounts before submission to the full Board.

Whistleblower Protection

A confidential whistleblower channel allows staff, volunteers, and beneficiaries to report suspected misconduct without fear of retaliation.

Programme Monitoring

All programmes are subject to quarterly monitoring visits, beneficiary surveys, and independent evaluation. Results are shared with donors in programme reports.

Compliance & Registration

The Foundation is registered with the Corporate Affairs Commission (CAC) of Nigeria and adheres to relevant international NGO compliance standards.

Donor Rights

Donors have the right to designate their giving, receive acknowledgment receipts, request programme reports, and raise complaints through our formal process.
